Terms and Conditions

Scope

These Terms and Conditions apply to every Offer. Any deviation must be agreed upon in writing. GeoTiq may update these Terms unilaterally. The latest version is always available on GeoTiq’s website.

Execution of the Agreement

1. The Client must timely provide all data necessary for execution.
2. If data is delayed, GeoTiq may suspend performance and charge resulting costs.
3. GeoTiq may involve third parties for proper execution.
4. Deadlines are not binding unless explicitly agreed.
5. GeoTiq will act with care and professional skill.

Delivery and Warranty

Products are deemed delivered upon Client acceptance. GeoTiq offers limited warranty for a reasonable period post-delivery, during which errors attributable to GeoTiq will be corrected free of charge. The warranty excludes misuse, third-party alterations, or external damage.

Term and Termination

1. Duration is defined in the Offer. Maintenance contracts may be terminated with one month’s notice at the end of the term.
2. GeoTiq may terminate immediately in case of insolvency or material breach by the Client.

Payments and Fees

1. Invoicing is monthly, with a 14-day payment term. This is a strict deadline. No set-off or suspension permitted. Statutory interest applies to late payments.
2. In case of non-payment, GeoTiq may suspend services.
3. Prices are exclusive of VAT and government levies. Additional work requires written acceptance of a new price offer.

Liability

1. GeoTiq is not liable for indirect or consequential damages, including lost profits. Any liability is limited to the amount covered by insurance.
2. GeoTiq is never liable to third parties related to the Client.

Privacy (GDPR)

Client data provided in the Offer will be processed according to the General Data Protection Regulation (GDPR).

Force Majeure

Neither party is liable for delays due to force majeure. After 30 days of force majeure, either party may cancel the Agreement. Settlements will be made proportionally.

Intellectual Property

1. All IP rights to products, code, documentation, and materials remain with GeoTiq.
2. The Client receives a non-exclusive, non-transferable right of use after full payment.
3. The Client may not provide third parties with infringing or unlawful data.

Invalid Provisions

If any clause is void, the rest remains valid. The void clause is replaced by a clause that reflects the intent as closely as possible.

Applicable Law

Dutch law applies. Disputes will be submitted to the court in The Hague.

In case of differences between language versions, the Dutch version shall prevail.
